Official Rules

THESE OFFICIAL RULES ARE A LEGALLY BINDING AGREEMENT BY AND BETWEEN YOU AND THE SPONSOR THAT GOVERN THE COMPETITION. BY PARTICIPATING IN THIS COMPETITION, YOU AGREE TO ABIDE BY THESE OFFICIAL RULES. FAILURE TO COMPLY WITH THESE TERMS WILL VOID YOUR ENTRY.

The Tartelette™ U Mentor Program Competition (“Competition” or “Tartelette™ U”) is sponsored by Tarte, Inc. (“Sponsor” or “Tarte”).

 

1.    HOW IT WORKS: 

Tarte is looking to offer a woman or man enrolled in an accredited two or four year university or college with the opportunity to grow professionally through an online mentorship and gifting program called Tartelette U. It will provide an individual the opportunity to work with Tarte to unlock professional development opportunities, participate in group discussions, receive guided mentorship resources and receive complimentary Tarte products.


2.    ELIGIBILITY: 

2.1

In order to apply to participate in the Tartelette U, an applicant must at the time of the Competition entry submission: (a) legally reside within the United States or Canada (excluding Quebec); (b) be 18 years old or older; (c) be enrolled in an accredited two or four year college or university; and (d) fully submit a completed Tartelette U application form found on the tarte.com website.

2.2

Competition void where prohibited by law.

2.3

Employees of the Sponsor, its parent, related and affiliated companies, subsidiaries, departments or agencies, franchisees, suppliers, advertising and promotional agencies, contest administrators, and any other parties engaged in the development, production or distribution of Competition materials, and those living in the same household, are not eligible to participate in the Competition or Tartelette™ U.

3.    HOW TO ENTER: NO PURCHASE IS NECESSARY.

3.1

To apply for Tartelette™ U, an eligible applicant must answer all questions marked as mandatory on the tarte.com Tartelette™ U application form (namely, the applicant’s name, a valid email address of the applicant that includes the applicant’s two- or four-year accredited university or college domain and any other items) and click the “Submit” button. All mandatory information provided by an eligible applicant, in the aggregate, is that applicant’s submission (the “Submission”). Any essay answers required must be responsive to the questions in the questionnaire and be less than 200 words. Any essay answers must be written in English and conform to the guidelines set forth in Rule 6 below. The Submission shall be the only basis for selecting the winners of the Competition.

3.2

All Submissions must be successfully submitted to Tarte between 9:00am Eastern Standard Time on Friday, May 3, 2024 and 11:59 p.m. Eastern Standard Time on May 15, 2024 to qualify to be a participant in Tartelette U. Tarte will publicly announce the identity of the winning Submissions of Tartelette U by June 28, 2024.

3.3

There is a limit of one (1) Submission per person. If it is discovered that any person has attempted to: (a) obtain more than one (1) Submission per person and/or (b) use (or attempt to use) multiple names, identities and/or more than one (1) email address to apply for Tartelette U for the sake of increasing her/his/their chances of being selected as the winner, then she/he/they may be disqualified as a potential applicant.

3.4

All Submissions are subject to verification. Tarte reserves the right, in its sole discretion, to require proof of identity and/or eligibility (in a form acceptable to Tarte – including, without limitation, government issued photo identification) to participate in this Program. Failure to provide such proof to the satisfaction of the Tarte in a timely manner may result in disqualification. If the identity of the winning Submission cannot be resolved to Tarte’s satisfaction, the affected entry will be deemed ineligible.

3.5

Each Submission (and each individual component thereof) must conform to these Official Rules. Tarte, in its sole discretion, may disqualify any applicant from applying to participate in Tartelette U if it believes, in its sole discretion that the applicant or her/their Submission fails to conform to or deems to violate these Official Rules.

4.    WINNER SELECTION PROCESS:

4.1

Tarte will appoint a panel of evaluators (the “Evaluators”), consisting of Tarte employees to judge and select up to thirty (30) winning Submissions from the total Submissions that the Evaluators believe, in their sole discretion, best demonstrate an applicant who brings unique, diverse and inspirational perspectives to Tartelette U and who best represent the culture of Tarte and Heart to Tarte.

4.2

The decision of the Evaluators is final.

4.3

Odds of a Submission being selected as a winning Submission depend on the number of eligible Submissions received.

4.4

Any donations made by an applicant to Heart to Tarte or any purchases of tarte products made by an applicant shall NOT influence the choice of the winning Submissions.

4.5

An applicant is not required to advertise her their Submission on social media. Should an applicant choose to do so, the social media ad or “Post” will not increase or influence the applicant’s Submission of being chosen as the winning Submission. Any advertisement or social media “Post” must follow applicable laws and regulations relating to social media posts, including the Federal Trade Commission’s Guides Concerning Use Of Endorsements And Testimonials In Advertising and the Canadian Competition Bureau Guide on Influencer marketing and the Competition Act. If the applicant chooses, in her/his/their sole discretion to initiate a Post, Tarte shall not responsible for any damages, compensatory, direct, incidental, consequential or otherwise, with respect to or in any way arising from the applicant’s social media “Post” or advertisement relating to the Competition or Tartelette U.

5.    THE PRIZES AND APPROXIMATE RETAIL VALUE

5.1

There are thirty (30) positions in Tartelette U available to be won. Applicants who are chosen and deemed as winners by the Evaluators will receive the following benefits (collectively, the Program Benefits”):

  • Participation in Tartelette U; and
  • Complimentary Tarte products, valued at a maximum retail value of $400 USD.

Participation in Tartelette U may include the opportunity to work with Tarte employees and/or members of the Tarte community online to unlock professional development opportunities, participate in group discussions with other winners of the Competition and Tarte employees, and/or receive guided mentorship resources.

5.2

The approximate retail value (“ARV”) for the Program Benefits for each winner shall be $400 USD. The total Program Benefits have an ARV of $12,000 USD.

5.3

Neither the potential participation in Tartelette U’s mentorship nor the complimentary Tarte products are redeemable for cash. The designation of a winning Submission in the Competition is not assignable or transferable. No substitution is permitted except if a benefit is unavailable, in which case a substitute benefit of equal or greater value will be awarded. Substitute benefits will be determined at the sole discretion of Tarte. Winners may not receive cash in lieu of Tartelette U mentorship benefits or exchange or substitute prizes, except at the sole discretion of Tarte. Any other incidental expenses on prizes not specified herein are the winner’s sole responsibility.

5.4

All prizes given away are “as is” with no warranty, representation or guarantee relative to the prize, express or implied by Tarte.

6.    GUIDELINES AND RESTRICTIONS ON ESSAY SUBMISSION:

6.1

The applicant’s essay within the Submission (“Essay”) must conform to the following guidelines and restrictions (all as determined by the Tarte in its sole and absolute discretion):

  • Other than where specifically requested, the Essay must not contain applicant's name or social media handle;
  • The Essay must be truthful and written in English;
  • The Essay must not exceed 200 words;
  • The Essay cannot have been submitted previously in a promotion of any kind or displayed publicly through any means. The Essays must not include any identifiable information of a third party such as a name, address, phone number or email address;
  • The Essay must not contain material or content that violates or infringes another’s rights, including, but not limited to, privacy, publicity or intellectual property rights, or that constitutes copyright infringement or trademark infringement;
  • The Essay must not disparage Tarte or any other person or party;
  • The Essay must not contain text, images or artwork not created by applicant;
  • The Essay must not contain material that Tarte deems to be inappropriate, indecent, obscene, hateful, tortuous, defamatory, slanderous or libelous;
  • The Essay must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where Essay is created;
  • The Essay must not contain material that Tarte deems to promote bigotry, racism, hatred or harm against any group or individual or to promote discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;

The Essay may not include any personal information, name, or likeness, of any person under the age of 18; and.

6.2

BY SUBMITTING AN APPLICATION TO PARTICIPATE IN THE TARTELETTE U COMPETITION, YOU AGREE THAT THE SUBMISSION (AND EACH INDIVIDUAL COMPONENT THEREOF) COMPLIES WITH ALL CONDITIONS STATED IN THESE RULES.

6.3

THE RELEASEES (AS DEFINED BELOW) WILL BEAR NO LEGAL LIABILITY REGARDING THE USE OF YOUR SUBMISSION(S) (OR ANY COMPONENT THEREOF) BY, OR ON BEHALF OF, TARTE. THE RELEASEES (DEFINED BELOW) SHALL BE HELD HARMLESS BY YOU IN THE EVENT IT IS SUBSEQUENTLY DISCOVERED THAT YOU HAVE DEPARTED FROM OR NOT FULLY COMPLIED WITH ANY OF THESE RULES.

6.4

Tarte will screen every Submission. Tarte reserves the right, in its sole discretion, to edit or modify any Submission (or a component thereof), or to request an applicant to modify, edit and/or re-submit her/their Submission (or a component thereof), in order to ensure that the Submission complies with these Official Rules, or for any other reason. For greater certainty, Tarte reserves the right, in its sole discretion and at any time during the competition, to modify, edit or remove any Submission (or a component thereof), or to request an applicant to modify or edit her/their Submission, if a complaint is received with respect to the Submission, or for any other reason.

6.5

By participating in the Competition to participate in Tartelette U, each applicant warrants and represents that her/their Submission (and each component thereof): (a) is original to her/his/their and that the applicant has all necessary rights (including, without limitation, consent of the photographer) in and to the Submission to enter the competition to participate in Tartelette U; and (b) will not give rise to any claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party, or give rise to any claims for payment whatsoever.

6.6

By submitting a Submission to Tartelette U, each applicant: (a) to the extent permitted under applicable laws, grants to Tarte, in perpetuity, a non-exclusive license to publish, display, reproduce, modify, edit or otherwise use her/their Submission, in whole or in part, for advertising or promoting Tartelette U or for any other reason; (b) waives all moral rights in and to her/their Submission in favor of the Tarte to the fullest extent permitted by law; and (c) agrees to release and hold harmless the Releasees (defined below) from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related cause of action that relate in any way to the Submission.

7.    ADDITIONAL TERMS

7.1

Each winner must complete, execute and return a publicity release to use winner’s name, photo(s), hometown, university or college, likeness, statements or submission information for participation in Tartelette U and publicity purposes in connection with Tartelette U without limitation and without additional compensation, except where prohibited.

7.2

All Submission materials remain the property of the applicants but as a condition of receiving the prize, the chosen winning applicant will be required to grant Tarte a perpetual, irrevocable, unlimited, worldwide, royalty-fee, assignable, and sublicensable right and license to use, distribute, display, exploit, commercialize, and use the Submission without compensation. By entering a Submission, the applicant grants Tarte an unlimited right and license to publish, use, adapt, edit and/or modify the applicant’s Submission (or any component thereof) in any way, in any and all media worldwide, in connection with Tartelette U without limitation.

7.3

Tarte shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the Sponsor or any other persons providing any prize-related services. No refund or compensation will be made in the event of the cancellation or delay of any prize element except at the sole and absolute discretion of Tarte.

7.4

TARTE SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY OTHER ASPECT OF A TARTELETTE U EXPERIENCE OR USE OR MISUSE OF THE TARTELETTE U PROGRAM’S BENEFITS. SOME STATES DO NOT ALLOW THE FOREGOING RELEASES AND THIS RELEASE WILL BE ENFORCEABLE TO THE MAXIMUM EXTENT PERMITTED IN SUCH STATES.

8.    GENERAL CONDITIONS: 

8.1

Tarte is not responsible for and shall not be liable for: (a) electronic, hardware or software, network, Internet or computer malfunctions, failures, or difficulties of any kind, including without limitation, Internet Service Provider (ISP) or other connection availability, server malfunction, failed computer, network, telephone, satellite or cable hardware or software or lines, or technical failure, or jumbled, scrambled, delayed or misdirected transmissions, computer hardware or software malfunctions or any human, mechanical or technical or electronic error which may occur in the applicant’s fulfillment or transmission of the Competition application form to Tarte; (b) failed, incomplete, garbled or delayed computer transmissions; (c) lost, late, misdirected or incomplete Submissions; or (d) any condition caused by events that may cause Tartelette U to be disrupted or corrupted, regardless of the reason. Tarte is not responsible for injury or damage to any person or property related to or resulting from participating in Tartelette U.

8.2

Tarte reserves the right, at its sole discretion, to cancel, amend or suspend the Competition or Tartelette U or any portion thereof (including, without limitation, amending these Rules) should viruses, bugs, technical difficulties, suspected or actual electronic tampering, or other causes corrupt the administration, security, integrity or rendering of the Competition or Tartelette U. In the event of cancellation or suspension, notification thereof will be posted on the tarte.com website (“Website”) and winning participants of the Competition will be selected based all eligible Submissions legitimately received immediately prior to the event(s) causing the termination or suspension. Persons who tamper with or abuse any aspect of the Competition or Tartelette U Program, or act in violation of the Official Rules, or act in any manner to threaten or abuse or harass any person, or violate Website’s terms of service, as solely determined by the Tarte, will be disqualified. Tarte is not responsible for any incorrect or inaccurate information whether caused by website users, tampering, hacking, or by any of programming or equipment associated with or used in this Competition. Any use of robotic, macro, automatic, or like Submission methods will void all such entries, and may subject that applicant to disqualification.

8.3

The Competition to participate in Tartelette U, including construction, validity, interpretation and enforceability of these Official Rules shall be: (a) governed by the laws of the State of New York without regard to choice of law or conflict of law principles (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York; (b) any dispute, claims and causes of action arising out of or connected in any way with the Competition or Tartelette U Program or any prize awarded shall be resolved individually, without resort to any form of class action, and brought exclusively in a federal or state court in the borough of Manhattan, New York in the state of New York; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Competition, but in no event attorneys’ fees; and (d) under no circumstances will participants be permitted to obtain awards for, and participant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. This Competition is NOT open to residents of Quebec, Canada.

8.4

Tarte reserves the right, in its sole and absolute discretion, and without prior notice, to adjust any of the dates and/or timeframes stipulated in these Official Rules, to the extent necessary, for purposes of verifying compliance by any applicant or Submission(s) with these Official Rules, or as a result of technical problems, or in light of any other circumstances which, in the opinion of Tarte, in its sole and absolute discretion, affect the proper administration of the Competition to participate in Tartelette U as contemplated in these Official Rules. All changes to these Official Rules will be posted on Tarte’s website.

8.5

In the event of any discrepancy or inconsistency between the terms and conditions of these Official Rules and disclosures or other statements contained in any related materials of Tartelette U, these Official Rules shall prevail, govern and control.
